Terms of Service

1. Agreement to Terms

By accessing or using Limelite ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

Limelite is operated by Limelite LLC ("Company," "we," "us," or "our").

2. Eligibility

You must be at least 18 years old to use Limelite. By creating an account, you represent and warrant that you meet this age requirement and that all information you provide is accurate.

3. Platform Description

Limelite is a technology platform that connects four types of users:

  • **Consumers** — Individuals who discover events, venues, and vendors
  • **Organizers** — Individuals or businesses who create and manage events
  • **Venues** — Restaurants, bars, lounges, and other physical locations that list their business
  • **Vendors** — Independent businesses (DJs, food trucks, photographers, caterers, bartenders, decorators, etc.) who offer services or products

4. Platform Relationship — Independent Businesses

**THIS SECTION IS IMPORTANT. PLEASE READ CAREFULLY.**

Limelite is a technology marketplace that facilitates connections between independent businesses and consumers. Limelite does NOT employ, contract, or engage any Organizer, Venue, or Vendor as an employee, independent contractor, agent, joint venturer, or partner of Limelite.

Specifically:

  • **Organizers, Venues, and Vendors are independent businesses.** They are not employees, contractors, or agents of Limelite. They maintain full control over their own business operations, pricing, schedules, methods of service delivery, and customer relationships.
  • **Limelite does not control how businesses operate.** We do not dictate when or where Vendors work, how Organizers run their events, or how Venues operate their establishments. Businesses using Limelite set their own prices, hours, and terms.
  • **Limelite is one of many channels.** Businesses are free to use any other platform, marketing channel, or method to reach customers. There is no exclusivity requirement.
  • **No employment relationship is created.** Using Limelite does not create an employer-employee relationship, a franchise relationship, a joint venture, or a partnership between Limelite and any user.
  • **Businesses are responsible for their own obligations.** This includes taxes, licenses, permits, insurance, employment of their own staff, and compliance with all applicable laws and regulations.
  • **Subscription fees are for platform access, not for work performed.** Businesses pay Limelite for access to technology tools (heatmap visibility, booking management, analytics, etc.), not as compensation for services rendered to or on behalf of Limelite.
  • **Transaction fees are marketplace facilitation fees.** The fees Limelite charges on bookings and ticket sales are for facilitating the connection and processing the transaction — not for directing, supervising, or controlling the work.

This section applies to all Organizers, Venues, and Vendors regardless of their subscription tier, transaction volume, or length of time on the Platform.

5. User Accounts

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must provide accurate and complete information when creating an account
  • You must notify us immediately of any unauthorized use of your account
  • Each person or business may maintain only one account

6. Consumer Terms

Consumers may:

  • Browse events, venues, and vendor profiles on the Platform
  • Purchase event tickets through the Platform
  • Reserve seating at venues and pay deposits
  • Book vendors for services (DJs, photographers, caterers, etc.)
  • Order products from food vendors
  • Leave flame reviews after completed bookings
  • Share events via the Platform's sharing features

7. Organizer Terms

Organizers may create and manage events on the Platform, including:

  • Setting event details, pricing, and ticket tiers
  • Managing vendor applications for their events
  • Selling tickets with QR code verification
  • Viewing attendee demographics and analytics

Organizers are solely responsible for:

  • The accuracy of all event information
  • Compliance with local laws, permits, and venue agreements
  • Refund policies for their events
  • The safety and conduct of their events

8. Venue Terms

Venues may list their business on the Platform, including:

  • Business profiles with menus, photos, and operating hours
  • Seating reservation management with deposit collection
  • Entry fee management
  • Heatmap visibility and flame density ratings

Venues are solely responsible for:

  • The accuracy of their business information (hours, menus, pricing)
  • Compliance with health, safety, and liquor licensing regulations
  • Managing their own staff and operations
  • Honoring reservations made through the Platform

9. Vendor Terms

Vendors may list their services and products on the Platform, including:

  • Creating business profiles with portfolios and service descriptions
  • Setting their own hourly rates and pricing
  • Accepting or declining booking requests at their sole discretion
  • Using the "Go Live" feature to broadcast their real-time location
  • Selling products through their in-app product catalog

Vendors are solely responsible for:

  • Setting their own prices, availability, and service terms
  • Maintaining all required business licenses, permits, and insurance
  • The quality of their services and products
  • Their own tax obligations, including self-employment taxes
  • Employing and managing their own staff

10. Booking and Escrow

When a Consumer books a Vendor through the Platform:

  • Payment is held in escrow until both parties confirm service completion
  • The Vendor sets their own rates and may accept, decline, or counter-offer any booking request
  • Limelite charges a 5% booking fee to the Consumer and a 5% facilitation fee to the Vendor
  • Vendors may require a deposit to confirm a booking
  • The deposit is deducted from the total booking amount (not charged in addition to it)
  • Upon completion, both parties must confirm before funds are released to the Vendor
  • Disputes are handled through the Platform's dispute resolution process

11. Flame Reviews

After a completed booking, Consumers may leave a flame review consisting of:

  • A flame rating (Orange, Red, or Blue)
  • Optional compliment tags
  • An optional written comment (max 500 characters)

Reviews must be honest and based on actual experiences. Fraudulent, abusive, or retaliatory reviews may be removed at our discretion.

12. Payments, Fees, and Subscriptions

Transaction Fees

  • Vendor bookings: 5% charged to the Consumer (booking fee) + 5% deducted from the Vendor (facilitation fee)
  • Event ticket sales: 3% per ticket
  • Deposits and reservations: 3%

Subscription Fees

  • Subscription fees are charged monthly via Stripe
  • All new accounts receive a 60-day free trial of the Pro/Premier tier
  • You may cancel your subscription at any time through the Stripe billing portal
  • No refunds for partial months

Payouts

  • Vendor earnings are paid out through Stripe
  • Express payouts (1.5% fee) and Standard payouts (0.5% fee) are available
  • Minimum payout amount: $10.00

13. Referral Program

  • Each user receives a unique referral code
  • Referral tracking is automated through the Platform
  • Referral program terms and rewards are set by Limelite and may change at any time
  • Attempting to game or abuse the referral system may result in account termination

14. Prohibited Conduct

You agree not to:

  • Use the Platform for any illegal purpose
  • Create fake events, listings, or fraudulent accounts
  • Harass, abuse, or threaten other users
  • Attempt to gain unauthorized access to our systems
  • Scrape or collect user data without permission
  • Resell tickets at inflated prices (scalping)
  • Impersonate another person or entity
  • Submit fraudulent or retaliatory reviews
  • Circumvent the Platform's payment system (off-platform payments for bookings facilitated through Limelite)
  • Use the Platform to launder money or facilitate fraud

15. Intellectual Property

The Limelite name, logo, flame rating system, and all related content are the property of Limelite LLC. You may not use our intellectual property without prior written consent.

Event organizers retain rights to their event content. Vendors retain rights to their business content and portfolios.

16. Limitation of Liability

To the maximum extent permitted by law, Limelite shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

Limelite is not responsible for:

  • The quality, safety, or legality of events, venues, or vendor services
  • The conduct of any user on or off the Platform
  • Events that are cancelled, postponed, or changed by organizers
  • Vendor no-shows or service quality disputes (though we provide dispute resolution tools)
  • Any losses resulting from unauthorized access to your account

Our total liability shall not exceed the amount you paid to us in the past 12 months.

17. Disclaimer

The Platform is provided "as is" without warranties of any kind, express or implied. We do not guarantee that the Platform will be uninterrupted, secure, or error-free.

Limelite is a technology platform, not a venue operator, event organizer, staffing agency, or employer. We facilitate connections but do not endorse, guarantee, or assume responsibility for any transaction between users.

18. Dispute Resolution Between Users

For disputes between Consumers and Vendors regarding bookings:

  • Either party may raise a dispute through the Platform
  • Limelite will review the dispute and may request information from both parties
  • Funds held in escrow may be released, partially released, or refunded based on the resolution
  • Limelite's dispute resolution is a courtesy service, not a legal arbitration

19. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms. You may delete your account at any time.

Upon termination:

  • Outstanding payouts will be processed within 30 days
  • Active bookings will be handled on a case-by-case basis
  • Your data will be retained as required by law and our Privacy Policy

20. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of the Platform after changes constitutes acceptance.

21. Governing Law

These Terms shall be governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any legal action must be brought in the courts of Fulton County, Georgia.
